1. Introduction and Acceptance
Welcome to PromoVision Creative ("Company," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you and PromoVision Creative, governing your access to and use of our website, services, and all associated marketing support, consulting, content creation, and coordination services that we provide to agricultural businesses and related industries.
By accessing our website, engaging our services, submitting inquiries through our contact forms, or otherwise interacting with our business, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any part of these Terms, you must discontinue use of our website and services immediately.
PromoVision Creative reserves the right to update, modify, or replace any part of these Terms at any time. We will make reasonable efforts to notify clients of significant changes, but it remains your responsibility to review these Terms periodically. Continued use of our services following any modifications constitutes acceptance of the updated Terms.
2. Description of Services
PromoVision Creative provides a comprehensive suite of marketing support services specifically designed for agricultural businesses, agri-service companies, farm-related enterprises, regional suppliers, and agricultural startups. Our services are delivered entirely online and include, but are not limited to, the following core areas:
2.1 Promotion Strategy Development
We develop structured promotion strategies tailored to agricultural products and services. This includes identifying optimal communication channels, formulating promotion logic and direction, and providing actionable guidance on marketing activities designed to strengthen your market visibility and outreach effectiveness.
2.2 Target Audience Analysis
Our audience analysis services involve researching and segmenting your potential customer base, mapping their needs and interests, understanding buyer motivations, and identifying priority groups for your communication efforts. This analysis forms the foundation upon which effective promotion strategies are built.
2.3 Market Positioning Research
We conduct thorough assessments of your product or service's current market position, analyze the competitive environment, identify your unique strengths and differentiators, and help formulate a clearer, more compelling market image that resonates with your target audience.
2.4 Marketing Materials Preparation
Our team creates and structures promotional texts, presentation materials, digital communication content, and other marketing assets designed to support your brand visibility and promotional campaigns. All materials are crafted to align with your strategic objectives and audience profiles.
2.5 General Marketing Coordination
We provide ongoing support for marketing task management, help organize marketing processes, assist in preparing marketing activities, and maintain remote collaboration with your team on current business initiatives and campaigns.
3. Client Responsibilities
When engaging PromoVision Creative for any of our services, you as the client agree to the following responsibilities and obligations:
- Providing accurate, complete, and timely information about your business, products, services, target markets, and any other data necessary for us to deliver our services effectively.
- Responding to requests for information, feedback, and approvals within reasonable timeframes to ensure project momentum and adherence to agreed-upon schedules.
- Ensuring that all materials, data, branding assets, and content you provide to us do not infringe upon the intellectual property rights, trademarks, copyrights, or other proprietary rights of any third party.
- Designating a primary point of contact within your organization who will be authorized to make decisions, provide approvals, and communicate with our team throughout the engagement.
- Reviewing and providing feedback on deliverables within the timeframes specified in your service agreement.
- Making timely payments in accordance with the payment terms established in your specific service agreement or invoice.
- Using our services and any deliverables we produce in compliance with all applicable local, state, federal, and international laws and regulations.
4. Service Delivery and Timeline
All services provided by PromoVision Creative are delivered online through digital communication channels including email, video conferencing, project management platforms, and file-sharing systems. We follow a structured five-step workflow process consisting of Initial Review, Market and Audience Analysis, Strategic Recommendations, Content and Promotional Support, and Ongoing Coordination.
Project timelines are established at the beginning of each engagement based on the scope and complexity of the services requested. While we make every reasonable effort to adhere to agreed-upon timelines, actual delivery dates may be affected by factors including but not limited to the complexity of the project, the timeliness of client feedback and information provision, the volume of revisions requested, and unforeseen circumstances beyond our reasonable control.
PromoVision Creative shall not be held liable for any delays caused by the client's failure to provide necessary information, feedback, or approvals in a timely manner.
5. Intellectual Property Rights
Upon full payment for completed services, clients receive a non-exclusive, perpetual license to use all final deliverables created by PromoVision Creative for their intended business purposes. PromoVision Creative retains ownership of all underlying methodologies, frameworks, templates, proprietary processes, analytical tools, and general knowledge developed in the course of providing services.
We reserve the right to reference completed projects in our portfolio, case studies, and marketing materials unless explicitly prohibited by a written confidentiality agreement. Any pre-existing intellectual property that either party brings to the engagement remains the sole property of the originating party.
6. Confidentiality
PromoVision Creative commits to maintaining the confidentiality of all proprietary business information, trade secrets, customer data, and sensitive materials shared by clients during the course of our engagement. We implement reasonable administrative and technical safeguards to protect client information from unauthorized access, disclosure, or misuse.
This confidentiality obligation does not extend to information that is or becomes publicly available through no fault of PromoVision Creative, was already known to us prior to disclosure, is independently developed by us without use of client confidential information, or is required to be disclosed by law or regulatory authority.
7. Payment Terms
Payment terms, pricing, and billing schedules are established in individual service agreements or proposals provided to each client prior to the commencement of services. Unless otherwise specified in writing, invoices are due upon receipt and must be paid within thirty (30) calendar days of the invoice date.
Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower. PromoVision Creative reserves the right to suspend or terminate services if payment is not received within the agreed-upon timeframe.
8. Limitation of Liability
PromoVision Creative provides marketing support, strategic recommendations, and promotional materials. We do not guarantee specific business outcomes, revenue increases, market share growth, or any particular results from the implementation of our recommendations or use of our deliverables. Marketing success depends on numerous factors beyond our control, including market conditions, competition, product quality, and implementation execution.
To the maximum extent permitted by applicable law, PromoVision Creative's total aggregate liability for any claims arising from or related to our services shall not exceed the total amount paid by the client for the specific services giving rise to the claim during the twelve (12) months preceding the claim.
In no event shall PromoVision Creative be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of business opportunities, loss of data, or business interruption, regardless of the legal theory upon which such damages are based.
9. Termination
Either party may terminate a service engagement by providing thirty (30) days' written notice to the other party. Upon termination, the client shall be responsible for payment for all services rendered and expenses incurred up to the effective date of termination.
PromoVision Creative may terminate services immediately and without notice if the client breaches any material term of these Terms of Service, fails to make required payments after reasonable notice, provides false or misleading information, or engages in conduct that is harmful to our reputation or business interests.
10. Dispute Resolution
Any disputes arising from or related to these Terms or our services shall first be addressed through good-faith negotiations between the parties. If the parties are unable to resolve the dispute through direct negotiation within thirty (30) days, the dispute shall be submitted to binding mediation in Lexington, Kentucky, in accordance with the mediation rules of the American Arbitration Association.
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, United States of America, without regard to its conflict of law provisions.
11. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond the reasonable control of the affected party, including but not limited to natural disasters, acts of government, pandemic or epidemic, war or terrorism, labor disputes, power failures, internet outages, or any other events of force majeure.
12. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such finding shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.
13. Entire Agreement
These Terms, together with any individual service agreements, proposals, or statements of work, constitute the entire agreement between the client and PromoVision Creative regarding the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
